Terms of Service

1. Agreement to terms

By accessing or using the website, platform, or services of Izhon Telematics (“Services”), you agree to be bound by these Terms of Service. If you are using the Services on behalf of a company or other entity, you represent that you have authority to bind that entity. If you do not agree, do not use our Services.

2. Description of services

We provide GPS fleet tracking, vehicle telematics, fuel analytics, and related software and hardware solutions for fleet and logistics operators, primarily in East Africa. Specific features, data retention, and support levels depend on your chosen plan and any separate agreement.

3. Account and use

You agree to:

• Provide accurate registration and contact information and keep it up to date.
• Maintain the security of your account credentials and accept responsibility for activity under your account.
• Use the Services only in compliance with these Terms and applicable laws.
• Not misuse, reverse-engineer, or attempt to gain unauthorized access to our systems or data.

4. Fees and payment

Fees for our Services are as described on our Pricing page or in your order form. Prices may be in USD, RWF, KES, UGX, TZS, or other agreed currencies. You agree to pay all applicable fees on time. We may suspend or terminate access for non-payment. Refund and cancellation terms will be set out in your agreement or on the relevant order page.

5. Data and privacy

Your use of our Services is also governed by our Privacy Policy. You are responsible for ensuring that you have appropriate rights to provide any vehicle, driver, or location data to us and that your use complies with applicable data protection and employment laws.

6. Intellectual property

We retain all rights in our software, dashboards, algorithms, branding, and other materials. We grant you a limited, non-exclusive licence to use the Services for your internal business purposes in accordance with these Terms. You may not copy, modify, or distribute our software or content without our written permission.

7. Limitation of liability

To the maximum extent permitted by law, Izhon Telematics and its affiliates shall not be liable for any indirect, incidental, special, or consequential damages (including loss of profit, data, or business opportunity) arising from your use of or inability to use the Services. Our total liability for any claims related to the Services shall not exceed the fees paid by you in the twelve (12) months preceding the claim. Some jurisdictions do not allow certain limitations; in such cases our liability is limited to the fullest extent permitted by law.

8. Indemnification

You agree to indemnify and hold harmless Izhon Telematics, its officers, and employees from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your use of the Services, or your violation of any third-party rights or applicable law.

9. Termination

We may suspend or terminate your access to the Services for breach of these Terms, non-payment, or for operational or legal reasons. You may terminate your account as set out in your agreement or by contacting us. Upon termination, your right to use the Services ceases. Provisions that by their nature should survive (e.g. liability, indemnity, data return) will survive termination.

10. Governing law and disputes

These Terms are governed by the laws of Rwanda. Any dispute arising in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Rwanda, unless we agree otherwise in writing.

11. Changes

We may update these Terms from time to time. We will post the updated Terms on this page and indicate the date of the last update. Continued use of the Services after changes constitutes acceptance. If you do not agree, you must stop using the Services.
